• A listed plc Group Finance Director (Chief Financial Officer) with substantial experience of City, merger and acquisitions and international business. This includes fund raising both in the Capital Markets (Rights Issue / IPO) and banking sector.

• Able to operate at both a high strategic level as well as being “hands-on” in the detail.

• A record of accomplishment includes successfully improving the internal controls of complex groups of companies and strategic development both by acquisition and organic growth.

• General Management and Company Doctoring experience and success. This includes turn rounds and disposals. Able to manage change.

• Experience as Group Finance Director of Venture Capital backed companies

SELECTED ACHIEVEMENTS

Raised funds by rights issue which required the planning and organising of a persuasive campaign to convince key investors. This was executed to such an extent that we convinced investors to commit and the issue was fully subscribed at a good price raising £25 million.

Strengthened corporate governance and controls in major subsidiary. Evaluated position, convinced management of need to improve processes and followed up by implementing and constant review. The control problem was solved and the risks minimised.

Motivated and re-orientated the head office staff by close supervision, appointment of key people and restructuring their jobs to achieve a team which met deadlines and all the challenges thrown at it.

Successfully negotiated around 30 acquisitions and disposal contracts on advantageous but solid terms. By creating win-win scenarios any problem areas were overcome and on the one occasion that after the event the contract had to be used in anger because of a breach of warranty it worked perfectly.

Spearheaded a major cost cutting exercise. Re-evaluated budgets across all businesses, briefed and convinced managers to reduce waste and re-engineer the Business Processes. Saving c£1m..

Organised hostile bid defence. Analysed financial strategy, persuaded board on direction, briefed and presented to City. Thus stoked up rival bidding war between two protagonists and achieved excellent price of £1.70 per share (compared to 70p before hostile bid began).

Recognised the opportunity to make a substantial saving by re-banking a plc and launched this by preparing a prospectus which included a non-negotiable contract to in our favour. The £50 million of facilities needed were oversubscribed and we achieved a reduction from LIBOR plus 150 to a range LIBOR have plus 20 to 50 basis points, saving over £200,000

Devised the strategy to turnaround and resolve issues in a loss making non-core division. The problem was solved by cost cutting and preparing the companies for sale. They were brought back towards breakeven and sold out of the group within 12 months.
