Work Experience

2007-present Interim M&A, Corporate Finance adviser specialising in Corporate Finance, Mergers & Acquisitions, valuations, financial modelling. I temporally strengthen M&A team within a corporate or a M&A consultancy , advise company's management on specific M&A issues, prepare valuations, manage due diligence process, lead the process of change of ownership/ refinancing and act as a trusted adviser for the management during acquisition/ divestment process. Recent projects:
• M&A Project manager at Eneco (€4,5 billion turnover energy company). I have managed various acquisition projects in the renewable energy sector (wind parks, biomass and solar developers), transaction value € 20-200 mil. Responsibilities included the complete deal execution, from valuation and initial offer, through DD management and deal structuring to negotiations, transaction documentation and deal close. Preparation of the project business case for the Board of Directors and Supervisory Board of Eneco. Duration: 10 months.
• Interim manager of the change of ownership process at Convenience Food Systems B.V., a € 500 million turnover company (producing food- processing equipment) during the. Acted as the link between CFO, CEO, top financial management and MT team, and all external DD providers and an investment bank. Activities involved advising CFO and MT members on all matters relating to the selling process, management of the due diligence process (commercial, financial, legal, tax, insurance due diligence), assisting in preparation of an Information Memorandum, Presentations and other documents. Developing of a complex business model for the purpose of evaluating potential impact of the refinancing, as well as forecasting/ planning processes. Duration: 6 months
• Financial advisor to Gas Treatment Services B.V.. Advisory on potential sources of financing, issues around establishing of a joint- venture. Developing of a complex financial model to evaluate gas treatment commercial projects. Duration: 2 months
• Advisory on subsidies and grants possibilities to several customers.


2005-2006 Deloitte Corporate Finance, Amsterdam

Consultant Corporate Finance involved in Mergers, Acquisitions, Disinvestment and Valuation activities. Projects included:
• primary advisor to Delta N.V. (a Dutch energy company € 1,3 bil turnover) on valuation issues , acquisition advisory and due diligence management during its attempted merger with SITA and subsequent attempted acquisition of AWR B.V.(€ 500 m turnover)
• Developing of a complex financial model , acquisition advisory and due diligence management for 3J (a large private equity party) in its acquisition of a €2.3 billion turnover ABX Logistics Group
• Various company valuations, Impairment reviews, Fairness opinions, Purchase price allocation

2003- 2005 Via Networks NV, Amsterdam

Sr Analyst Corporate Financial Planning & Analysis at this NASDAQ quoted provider of managed Internet services for businesses. Financial and management presentations to the external Board of Directors and Management Team. Financial modelling of potential acquisitions, integration of acquired companies (AMEN and PSI net) into Via, preparing consolidated forecasts and synergy analysis. Financial support on business case preparation, long-term (3-year) business and strategic planning, preparation of cash flow and working capital analysis, budgets and forecasts were part of my daily activities. I was involved in projects such as new product introduction, establishing KPI reporting, and improving cost control. I worked directly with CFO, CEO, departments managers and countries MDs and FDs (eg: reporting on revenues, expenses, working capital, profitability per product and channel).


2000-2003 Royal Dutch Shell , The Hague

Before this, Finance Analyst at the International Exploration & Production Division, responsible for financial reporting and analysis, budgeting and forecasting. Participated in organizational design and establishment of financial processes. Support on strategic financial issues of major projects e.g. cost recovery, billing efficiency, project cost estimating, establishment of internal KPI reporting.
